Terms of Service | SENTINEL by NUVARIS

1. Acceptance of Terms

By accessing or using SENTINEL by Nuvaris.ai (the "Platform"), operated by Modish Global Inc., a Nevada C-Corporation, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Modish Global Inc..

2. Description of Service

SENTINEL by Nuvaris.ai is a proprietary lead intelligence and field sales network platform operated under the Cinematic Intelligence™ methodology. The Platform provides certified SENTINEL representatives with AI-enriched property lead data, outreach tools, and performance tracking. Access is granted exclusively to individuals who have completed the SENTINEL Academy certification program.

3. Eligibility and Account Access

You must be at least 18 years of age and legally authorized to work in your jurisdiction to register as a SENTINEL. Access to the Platform is provided via a unique magic link tied to your registered email address. You are responsible for maintaining the confidentiality of your access credentials and for all activity that occurs under your account.

4. Independent Contractor Relationship

SENTINELs operate as independent contractors, not employees, agents, or partners of Modish Global Inc.. Nothing in these Terms or the SENTINEL program creates an employment relationship, joint venture, or partnership. You are solely responsible for your own taxes, insurance, and compliance with applicable laws in your jurisdiction. Modish Global Inc. does not guarantee any minimum earnings, lead volume, or conversion rates.

5. Intellectual Property

All content, data, software, algorithms, AI models, visual assets, brand marks, and methodologies available on or through the Platform — including but not limited to Cinematic Intelligence™, DesignVault 3D™, Modish.Ai™, the 3D Transformative Digest™, and all associated render libraries — are the exclusive intellectual property of Modish Global Inc. and/or Modish.Ai LLC (Delaware), its wholly owned IP-holding entity.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purpose of conducting authorized SENTINEL outreach activities. You may not reproduce, distribute, sublicense, reverse-engineer, create derivative works from, or commercially exploit any Platform content without the prior written consent of Modish Global Inc..

6. Lead Data and Outreach Conduct

Lead data provided through the Platform is sourced from public permit records and third-party data providers.Modish Global Inc. makes no warranty as to the accuracy, completeness, or currentness of any lead data. You agree to use lead data solely for lawful outreach purposes and in compliance with all applicable laws, including the CAN-SPAM Act, TCPA, and any applicable state telemarketing and privacy laws.

The Platform generates AI-drafted outreach letters as a convenience tool only. Modish Global Inc. does not send outreach on your behalf. You are solely responsible for all communications you initiate using Platform tools.

7. Commissions and Payments

Commission eligibility, rates, and payment terms are governed by the SENTINEL Partner Agreement executed at the time of enrollment. Modish Global Inc. reserves the right to modify commission structures with 30 days' written notice. ACH payment information collected through the Platform is used solely to facilitate commission payments initiated by Modish Global Inc.. Modish Global Inc. will never debit your account without separate written authorization.

8. Prohibited Conduct

You agree not to:

Share, sell, or transfer your Platform access credentials to any third party
Use the Platform to engage in spam, harassment, or deceptive outreach
Scrape, harvest, or systematically extract lead data from the Platform
Attempt to reverse-engineer, decompile, or access the Platform's source code or AI models
Represent yourself as an employee or official representative of Modish Global Inc.
Use the Platform for any purpose that violates applicable law

9. Termination

Modish Global Inc. reserves the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your license to use the Platform and all associated data access rights are immediately revoked. Sections 5, 6, 8, 10, and 11 survive termination.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MODISH GLOBAL INC. DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MODISH GLOBAL INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MODISH GLOBAL INC.'S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO MODISH GLOBAL INC.IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved by binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

13. Changes to Terms

Modish Global Inc. reserves the right to modify these Terms at any time. Continued use of the Platform following notice of changes constitutes acceptance of the revised Terms. We will provide at least 14 days' notice of material changes via the email address associated with your account.
